TERMS OF SERVICE

Welcome to the VRBC Talent Gateway. These Terms of Service (“Agreement”) govern the use of our specialized recruitment
platform for the beauty and wellness industry. By registering an account as an Employer or an Applicant, you agree to
these terms.

V R B Management Consulting Co. LLC General Terms of Service

1. Platform Overview

   “The VRBC Talent Gateway is a proprietary platform where verified Employers post vacancies and industry
   professionals (“Applicants”) apply for those roles. V R B Management Consulting Co. LLC provides the
   infrastructure for sourcing, screening, and application management.”

   “V R B Management Consulting Co. LLC is a technology and management consultancy provider. We do not act as a
   labour supplier or an employment agency under the definition of UAE Ministerial Decree No. 51 of 2022. We
   provide the tools for recruitment; we do not employ the candidates.”

2. Terms for Employers

   1. Registration & Business Verification

      “To maintain industry standards, all Employers must undergo a verification process.”

      • “Requirements:You must provide a Valid UAE Trade License and a Company Logo.”

      • “Verification:Accounts are subject to a manual review after OTP (One-Time Password) email
        verification. We reserve the right to reject any registration that does not meet our industry
        criteria or fails trade license verification.”

   2. Job Packages & Payments

      • “Service Purchase: Employers must purchase a Job Package before posting vacancies.”

      • “Activation: Packages are activated only upon successful payment confirmation.”

      • “Refund Policy: All packages are non-refundable once the first job vacancy has been posted
        or after 7 days of purchase, whichever comes first, in accordance with UAE consumer guidelines
        for digital services.”

      • “VAT: All prices are subject to 5% VAT as per UAE Federal Tax Authority regulations.”

   3. Posting Vacancies

      • “Content Responsibility:The Employer is solely responsible for the accuracy and legality of the job description.”

      • “Prohibitions:You may not post vacancies that require the Applicant to pay any fees, or that violate UAE Labour Law regarding discrimination or minimum employment standards.”

   4. Application Management & Hiring

      • “Screening:The platform provides a dashboard to approve or reject candidates”

      • “Candidate Interaction:Once an application is “Approved” by you, the Applicant is notified. The Employer is then solely responsible for contacting the Applicant via phone or email to conduct interviews. “

      • “No Guarantee: While we ensure only industry-relevant professionals have access to apply, we do not guarantee a minimum number of applications or the ultimate suitability of any candidate.”

3. Terms for Applicants (Industry Professionals)

   1. Applications

      • “Accuracy:You represent that all information in your profile and application is true”

      • “Visibility:By applying to a vacancy, you authorize V R B Management Consulting Co. LLC to share your full CV, contact details, and screening results with the specific Employer.”

   2. No Fees for Candidates

      “In compliance with Article 6 of the UAE Labour Law, Applicants shall never be charged a fee to search, apply, or be placed in a role via the VRBC Talent Gateway.”

4. Data Protection & Privacy (UAE Law No. 45 of 2021)

   • “Data Use:We collect and process data (including Trade Licenses and CVs) strictly for recruitment facilitation.”

   • “Security:We implement technical measures to protect against unauthorized access.”

   • “Communications: By using the platform, both parties consent to receive automated notifications regarding application status, OTPs, and payment confirmations.”

5. Limitation of Liability

   • “Direct Hiring: V R B Management Consulting Co. LLC is not a party to any employment contract. We are not liable for any disputes, salary claims, or performance issues arising from a hire made through the platform.”

   • “Platform Uptime: We strive for 24/7 availability but are not liable for temporary downtime for maintenance or technical issues beyond our control.”

   • “Content Liability: We do not pre-screen the specific text of every job post and disclaim liability for any misleading information provided by Employers.”

6. Termination of Access

   “We reserve the right to suspend or delete accounts if:

   • “An Employer provides an expired or fraudulent Trade License.”

   • “An Employer attempts to charge Applicants for interviews or placements.”

   • “Either party uses the platform for “spam” or non-beauty industry purposes.”

7. Governing Law & Jurisdiction

   “This Agreement is governed by the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any disputes shall be settled by the Dubai Courts.“
